TheseTerms & Conditions govern the use of Bepi’s productsand services. They set out the
rights and obligations of you and Bepi and constitute a legally bindingagreement between you and Bepi.
By registering for and using our products and services - including, without limitation, holding funds with us and making paymentsor transfers to third-party businesses - you agree tobe bound by these Terms & Conditions.
IMPORTANT THINGS TO KNOWTo use BEPi services, you must agreeto these terms. If you do not agree, you mustnot use our Services.
You can accessand use BEPi Services throughour website, mobile application (coming soon), APIs, or via authorized third parties approved by BEPi.
All applicable fees are transparently disclosed on our
Pricing page. You will alwayssee our fees upfront before using a service.
Certain types of businesses and transactions are not supported by BEPi. These are outlined in our
Acceptable Use Policy. You must reviewthis policy carefully to ensure your activities are
permitted. If you engagein Restricted Activities, we may suspendor terminate your access to the Services.
When using BEPi payment, account, card, or transfer services, your transactions may be processed by BEPi or by one of our regulated partners, depending on the service, currency, or jurisdiction involved. Relevant entities and service scopes are disclosed where applicable.
Your BEPi profileand account are intended strictlyfor business use.
You are responsible for keeping your login credentials, security details, and access information secure. You must not allow unauthorized personsto use your BEPi account. Any activity carried out via your account by you or your Authorized Users will be deemed approved by your business.
We may suspendor restrict accessto BEPi Servicesif we reasonably believe that:
- your account or security details have been compromised,
- you are engagingin Restricted Activities, or
- you have violatedor may violate applicable laws, regulations, or these terms.
If you decide to stop using BEPi Services or wish to close your account, you must submit a written account closure request to our Customer Support team at
support@bepi.uk, clearly identifying your business and confirming your intention to terminate the use of BEPi Services.
If you have a complaint regarding BEPi Services, pleasefollow our
Complaints policy, and we will review your case in line with our regulatory obligations.
About this Business CustomerAgreementThis BusinessCustomer Agreement is a legallybinding agreement betweenyour business (“you”) and BEPi (“BEPi”, “we”, “us”, or “our”)and sets out the terms and conditions under
which BEPi provides its services to you (the “Agreement”).References to “you” include,where applicable, a sole trader, freelancer, private or public limited company, partnership, or a non-
profit organization, charity,or trust.
This Agreement incorporates by referenceadditional documents (the “Additional Documents”
) that also govern your use of BEPi Services, including:
- Acceptable Use Policy, which describes permitted and restricted uses of the Services;
- Pricing Page, which explains applicable fees and pricing structure;
- Privacy Policy, which explains how we collect, process, and use personal data when you use our Services. You are responsible for ensuring that all personal data you provide to BEPi is accurate and up to date.
By accessingor using BEPi Services via our website,mobile application, APIs, or authorised partners, you confirm that you have read, understood, and agree to this Agreement in its most current version. If you do not agree, you must not use our Services.
Depending on the service, currency, or jurisdiction, BEPi Services may be provided directly by BEPi or by one of our regulated partners. In such cases,funds will be held and processed in accordance with the applicable laws, regulations, and licences of the relevant entity. Where required, information about the applicable entity will be disclosed to you.
If thereis any inconsistency between this Agreement, the Additional Documents, or information published on our website, application, or provided via an API Partner, the terms of this Agreement shall prevail.
Certain BEPi Services or products may be subject to additional terms and conditions. Where applicable, you will be informed of such terms and requiredto accept them before using the relevant service.
How this Agreement appliesto you.If you use BEPi Services solely to make payments, transfers, or maintain a business profile without opening a BEPi account, you agree to thisAgreement each time you use the Services.
If you open a BEPi account, this Agreement will apply for as long as your BEPi account remains active.
Changes to this Agreement.We may updatethis Agreement from time to timein accordance with our right to make changes. Any updates will become effective once published on our website or application, or on the date otherwise notified to you.
The most up-to-date versionof this Agreement is always available on the
BEPi. You may download a copy at any time or request one by submitting a written request to our Customer Support team at
support@bepi.uk.
Defined Terms in this AgreementIn this Agreement, capitalized terms are definedin brackets wherethey appear or in the Additional Documents, or have the meanings set out below:
API means the application programming interface provided by BEPi, including access made available directly by BEPi or through an authorized API Partner.
API Partnermeans a third-party business authorized by BEPi to offer BEPi Services through its website, mobile application, platform, or other interfaces.
App means BEPi’s mobile application software, together with any data, updates, content,and
associated media suppliedwith it.
APP Scam means an Authorized Push Payment scam, where a user is deceived into authorizing a payment to a fraudster.
Business means a sole trader,freelancer, private or public limitedcompany, corporation, micro- enterprise, partnership, charity, trust, or other legal entity using BEPi Services, as applicable.
Business Day means a day otherthan a Saturday, Sunday,or public holiday in England on which banks in London, United Kingdom are open for business.
Card means a physical or virtual paymentcard issued by BEPi or an authorized partner in connection with a BEPi account, including cards issued to authorized users.
Chargeback means a claim or reversalinitiated by a payer,cardholder, bank, or payment service provider alleging that a payment was unauthorized, fraudulent, invalid, or otherwise subject to reversal, or where a payment fails due to insufficient funds, account closure, or similar reasons.
Direct Debit means an instruction from a customerto their paymentservice provider authorizing the collection of variable amounts from the customer’s account, provided the customer has received advance notice of the amounts and collection dates.
Intellectual Propertymeans all intellectual property rights, including:
- trademarks, tradenames, logos, patents,registered and unregistered designs, copyrights, database rights, domain names, utility models, and related rights, including applications, renewals, and extensions of such rights worldwide;
- rights related to unfair competition, passing off, and claims for past infringement; and
- trade secrets,confidential information, know-how, and other proprietary rights.
PSR means the UK PaymentServices Regulations 2018, as amendedor replaced from time to time.
Reversal / Reversed means funds credited to you that are subsequently returned, reversed, clawed back, or otherwise debitedfor any reason, including fraud, insufficient funds,account closure, or regulatory requirements.
Services means all products, services, features, content, technologies, and functionalities provided by BEPi, including accounts,cards, payments, transfers, currency exchange, analytics, APIs, websites, applications (including the App), and services provided directly by BEPi or via authorized partners.
Website means any BEPi-owned or controlled webpageor online platformthrough which BEPi Services are provided.
BEPi Account means a business account provided to you by BEPi or its regulated partners, which may includemulti-currency accounts, sub-accounts, wallets, or otheraccount structures, and may also be referred to as a “BEPi Business Account”.
Who we are and how to contact us- We are BEPi LTD, a company incorporated under the laws of Englandand Wales with company number 12973725.
- Our registered office is 1 Phipp Street, London,EC2A 4PS, UnitedKingdom. This office is not publicly open to you or other members of the public.
- We are an authorized electronic money institution (EMI) authorised by the Financial Conduct Authority (FCA)under the Electronic Money Regulations 2011 and the Payment Services Regulations 2017 to issue electronic money and provide payment services. You can look us up on the FCA’s registerusing our FCA firm reference number 941723.
- How to contact us.All formal communications, notices, and requests under this Agreement must be submitted to our Customer Support team at support@bepi.uk. You may also use the support features available in your BEPi account where applicable.
USING OUR SERVICES Our Services under this AgreementOverview Each of our Services operatesslightly differently. This section providesan overview of the services covered by this Agreement and the terms that apply to all BEPi
Services. You should carefully review the sectionrelevant to the Service you intend to use.
You can convertone currency into anotheras part of a money transfer, within your BEPi Account, or when spending using your Card.
A BEPi Account
isa multi-currency businessaccount that allowsyou to hold, send, receive,and convert funds. Where available, you may also be issued one or more Cards linked to your BEPi Account. Your BEPi Account may include a primary accountand additional sub-accounts or balances, depending on the Services provided to you, allowing you to manage funds separately.
Money transfers are subject to this Agreement and any applicable service- specific terms.
Corporate Opt-outIf you are a large corporatecustomer (that is, not a consumer, micro- enterprise, or charity within the meaning of the Payment Services Regulations), certain
provisions of this Agreement will apply differently to you.
- If you are a CorporateOpt-out Customer, you will not be entitled to refer complaints to the Financial Ombudsman Service. In addition, Part 6 of the Payment Services Regulations 2017, including regulations 66(1), 67(3),67(4), 75, 77, 79, 80, 83, 91, 92, and 94, will not apply to this Agreement.
- The time limitfor notifying BEPi of any unauthorized or incorrectly executed transaction, or for requesting a refund, will be sixty (60) days from the date of the alleged issue, instead of the thirteen (13) months provided under regulation 76 of the Payment Services Regulations.
- The noticeperiod for BEPi to terminate this Agreement may be thirty (30) days, ratherthan two (2) months, and BEPi may close your BEPi Account for any reason, whether that reason is expressly listed in this Agreement.
Who Can Use Our Services?Requirement. Your Business must be incorporated, organized, or registered in a countryor territory supported by BEPi in order to use our Services.
One BEPi Account, one profile. Your Business may open only one BEPi Accountand one profile, unless BEPi explicitly approves the opening of additional accounts.
If duplicateaccounts are identified, BEPi may close or merge such accountswithout prior notice to you.
Authority to bind your Business. You confirmthat you have the legal authority to bind the Business on whose behalfyou use BEPi Services and that the Business acceptsthe terms of this Agreement. We may request evidence of such authority at any time. If you fail to provide
evidence acceptable to BEPi, we may suspendor close the BEPi Account,restrict access to the Services, or deny access in favour of individuals who can demonstrate the required authority.
Authorized Users. You may authorize other individuals to access, use, or operate a BEPi Account or otherwise use BEPi Serviceson behalf of a Business (each an
“Authorized User
”).
You acknowledge and agree that:
- BEPi will treat any Authorized User as if they were you for the purposesof this Agreement;
- You are fully responsible for all actions taken by Authorized Users, including actions involvingfunds, transfers, withdrawals, or other instructions, even if such actions exceed the authority you granted;
- BEPi does not verify or monitor the authority of Authorized Users to act on behalf of your Business;
- BEPi may disclose information relating to your profile or BEPi Accountto Authorized Users, and BEPi is not responsible for how Authorized Users use such information.
Granting access to an Authorized User does notrelieve you of any obligations under this Agreement, including the duty to notify us of any suspected securitybreach, incorrect, or unauthorized transaction.
Disputes with Authorized Users.Any dispute betweenyou and an Authorized User relating to your BEPi Account or BEPi Services is solely between you and that Authorized User.
You acknowledge that BEPi is not a party to, and has no responsibility for, any claimor dispute between you and your Authorized Users. Because you are bound by the actions of Authorized Users, you should select them carefully, regularly review their access rights, and monitor their activity.
Getting StartedUsing our Services. To start using BEPi Services,you must create a profileand provide certain information about your Business as requested by us.
Information must be accurate. All information you provide to BEPi must be complete, accurate, and truthful at all times.You must promptly update such information if it changes.
BEPi is not responsible for any loss arisingfrom your failureto keep your information accurate or up to date. We may request confirmation of your information and/or additional supporting
documentation at any time.
Security and customer due diligence checks. We are requiredby law to carry out security, identity verification, and customer due diligence checks in order to provide BEPi Services and allow you to open and maintain a BEPi Account.
In certaincases, we may also need to performchecks on other partiesinvolved in a transaction, such as recipients or counterparties.
Information requests.You agree to comply with any requestfrom BEPi for additional information and to provide such information in a format acceptable to us.
You also agree that BEPi may make, directlyor through thirdparties, any enquiries we consider necessary to verify the information you have provided, including checks against commercial
databases or credit reporting agencies. You authorizeBEPi to obtainone or more credit reports
relating to your Business and, where relevant,Authorized Users or associated individuals, for the purposes of establishing, maintaining, or reviewing your BEPi Account, or in connection with a dispute relating to this Agreement or BEPi Services.
You agree that BEPi may disclose certain information about your Business and Authorized Users, including names, residential addresses, and dates of birth, to credit reporting agenciesfor these purposes.
BEPi reservesthe right to suspend, restrict, or close your BEPi Accountor access to the Services if we are unable to obtain, verify, or validate any information relating to you or a transaction.
BEPi may, from time to time,offer additional featuresor integrations in connection with your BEPi Account, including integrations with third-party software or service providers. BEPi may modify or discontinue such features at any time without prior notice.
Staying Safe While Using Our ServicesWe recommend that you use BEPi Services to send money only to trusted and verified businesses or third parties that you know or have previously done business with. You should exercise caution when sendingmoney to recipients you do not know or have never dealt with before.
When accessingyour BEPi Accountor profile, you should, at a minimum,do the following:
- Change your passwordregularly and ensure it is not reused for other online accounts.
- Never share your login details with anyone, including your username, password, or other security credentials. If you suspect unauthorised access, contact our Customer Support team immediately at support@bepi.uk. BEPi will never ask you for your password.
- Always use strong passwords that include a combination of letters, numbers,and symbols.
- Enable two-step authentication, where available.
- Keep your email accountsecure. Password resetsmay be performed via email.Notify our Customer Support team immediately at support@bepi.uk if your email account is compromised.
- Regularly update the BEPi App to the latest available version.
- Keep your internet browserupdated to the latest version.
- Ensure your deviceoperating system is regularly updatedwith security patches.
- Install and maintainup-to-date anti-virus software on your devices, where applicable.
- Ensure that you only enter your BEPi login details on the official BEPi App (downloaded from official app stores) or on the official BEPi website. Fraudulent emails, SMS messages, or online advertisements may direct you to fake login pages designed to steal your credentials or two-step authentication details.
- If you believe you may have been the victim of a scam, contact our Customer Support team immediately at support@bepi.uk.
You must NOT:- Share your login credentials or two-step authentication details with anyone.
- Allow anyoneto access your BEPi Accountor profile, observeyou accessing it, or remotely control your devices.
- Use any functionality that stores, caches,or records your login credentials or passwords.
- Attempt to bypass, interferewith, or compromise the two-step authentication process.
Contact us immediately if you suspectthat your BEPi Account, profile,or login credentials
Have been stolen, lost, used without authorisation, or otherwise compromised. You should also change your password as soon as possible. Where available, you may freeze your Card through the BEPi App.
Any delay in notifyingBEPi of a compromised account may affect account securityand may result in losses for which you are responsible. You must provide all reasonable assistance required to investigate and secure your account.
Certain additional Services may be subject to specific securityrequirements. You are responsible for familiarising yourself with and complying with such requirements.
You are responsible for ensuring that your information technology systems, devices, software, and platforms are properly configured to access BEPi Services. BEPi does not guarantee that the Services will be free from errors, bugs, or viruses.
If you have been subjectto a scam. You may be eligible for reimbursement in theevent of an
Authorized Push Payment scam (“APP Scam”), subject to applicable law and eligibility criteria.
To submit an APP Scam claim:
- You must be a sole trader, micro-enterprise, or a charitywith an annualincome of less than £1 million;
- You must hold a BEPi Account with GBP enabled;
- The payment must have been made from GBPheld in your BEPi Accountto a UK GBP bank account;
- The payment must have been made using local UK payment methods such as Faster Payments Service (FPS) or CHAPS, and not via international payment systems (including SWIFT); and
- The payment must have been made on or after 7 October 2024.
Payments that are
not eligible for an APP Scam claim include:
- Payments made using a BEPi Card;
- Payments made to another accountthat you control;
- Payments to accounts held with UK credit unions,municipal banks, or national savings banks;
- Payments made via cryptocurrency exchanges;
- Payments made for illegal purposes;and
- Payments relating to civil disputes(for example, dissatisfaction with goods or services).
All transactions must also comply with the BEPi Acceptable Use Policy, which is available at
BEPi Acceptable Use Policy.
Reporting an APP Scam. If your payment is eligible, you mustreport the APP Scam to BEPi and the police as soon as possible and no later than thirteen (13) months
after the
transaction date. Multiple transactions relating to the same scam may be included in a single claim. BEPi may request your consent to report the scam to thepolice on your behalf. Failureto provide such consent may affect your eligibility for reimbursement.
Reimbursement details.BEPi will reimburseonly eligible transactions. Once your claim is reviewed and closed, we will inform you which transactions are eligible and which are not. The maximum reimbursement amount will be subject to limits and excess amounts set by the
Payment Systems Regulator from time to time.
Your APP Scam claim may be rejected if:
- The transaction does not meet the eligibility criteria;
- You fail to report the APP Scamwithin thirteen (13) months; or
- You acted with gross negligence, provided false information, or were involvedin the APP Scam.
If a claim is rejected, BEPi will explainthe reasons by email, unlessprohibited by applicable law.
Limits on How You Can Use Our ServicesBusiness purposes.You may use BEPi Services only for businesspurposes. If you require products or services for personaluse, you must use a servicededicated to personalactivities and not BEPi Services.
You must not misuse our systems. You must not misuse BEPi systems by:
- Introducing viruses,trojans, worms, logicbombs, or othermalicious or technologically harmful materials.
- Taking any action that places an unreasonable or disproportionate load on our websites, software, systems,networks, or servers,or launching any form of denial-of-service attackagainst the BEPi Website, App, or API.
- Using anonymizing proxies; using robots,spiders, or other automated or manual processesto monitor or copy BEPi websites without prior written consent; or bypassing robot exclusion headers.
- Interfering with, disrupting, or attempting to gain unauthorized access to the BEPi Website, App, API, systems,Services, or other users’ accessto the Services.
You must not misuse our Services. You must not misuse BEPi Services by:
- Breaching this Agreement, any Additional Document, or any otheragreement between you and BEPi.
- Violating any applicable law, regulation, or legal requirement, including those relatingto financial services, consumer protection, competition, or advertising.
- Infringing BEPi’s Intellectual Property.
- Acting in a defamatory, libelous, threatening, abusive,or harassing manner.
- Providing false, inaccurate, or misleading information.
- Sending or receiving funds that we reasonably believeto be obtained through fraudulent or unlawful means.
- Refusing to cooperate with an investigation or to provide requestedidentity or business information.
- Attempting to obtain duplicaterefunds or compensation for the same transaction from BEPi and a third party (including a bank, merchant, or card issuer).
Using BEPi Services in a way that results in or may result in:
- Complaints to or about BEPi;
- Third-party requeststo invalidate or reverse payments;
- Fees, fines, penalties, losses,or liability for BEPi, its customers, third parties, or you.
- Using BEPi Servicesin a manner that card networksor payment systemsconsider abusive or in breach of their rules.
- Allowing your BEPi Account to have a negative balance.
- Accessing BEPi Services from a country or territory where BEPi is notpermitted to operate.
- Taking any action that may cause BEPi to loseservices from its internet serviceproviders, payment processors, or other suppliers.
- Circumventing this Agreement, any Additional Document,or BEPi policies, including account restrictions or suspensions, by:
- Attempting to open new or additional BEPi accounts or profiles whilean account is restricted, suspended, or has a negative balance;
- Opening accountsusing information that is not yours or using anotherperson’s BEPi account;
- Continuing to use BEPi Serviceswhen your Businessis no longer eligible or when a material change affects your verification status;
- Harassing, abusing,or threatening BEPi employees, agents, or customers;
- Abusing card network disputeor chargeback processes.
Suspension or restriction of Services. BEPi may suspendyour profile, BEPi Account, or access to the Services, or restrict functionality, if we reasonably believe there are concerns
relating to:
- the security of your BEPi Account or profile;
- suspected unauthorized or fraudulent use; or
- suspected breaches of this Agreement or the Additional Documents, including the Acceptable Use Policy.
We will notify you of any suspension or restriction and the reasonsfor it as soon as
reasonably possible, eitherbefore the actionis taken or shortly after,unless notification wouldbe unlawful or compromise security measures.
Actions we may take. If we believeyou have engagedin any activity described in this section 8, BEPi may take one or more actions at its sole discretion, including:
- immediately terminating this Agreement;
- suspending your BEPi Account or profile;
- closing your BEPi Account and terminating accessto the Services without notice;
- reporting suspected legal or regulatory breaches to law enforcement or regulators;
- refusing to provideServices to you or your affiliates in the future;
- restricting accessto your account, payments, transfers, or withdrawals;
- holding funds in your BEPi Account wherereasonably necessary to manage risk or wherethe Acceptable Use Policy has been breached;
- contacting banks, card issuers, affected third parties, or authorities;
- correcting inaccurate information you provided;
- taking legal action, including seeking recoveryof losses, fees,or damages.
Court orders and legal process. If BEPi receives notice of a court order, garnishment, or other legal or regulatory process affecting you or your BEPi Account, we may be required to take actionssuch as holding funds, restricting transactions, or releasingfunds in accordance with legal requirements.
Unless prohibited by law, we will attemptto notify you using the contact details you have provided. BEPi is not obliged to contest or appeal any legal process on your behalf. Any restriction or hold may remain in place for aslong as reasonably necessaryto comply with applicable legal or regulatory requirements.
Closing your BEPi Accountor stopping your use of BEPi ServicesYou may stop using BEPi Servicesand/or close your BEPi Accountat any time.This Agreement will continue to apply until your BEPi Account is terminated.
You may close your BEPi Accountor stop using the Servicesby following the steps made available by BEPi on our Website, App, or via an API Partner.
If you choose to close your BEPi Account,you should withdrawyour funds within a reasonable period.You must withdraw your funds before your BEPi Account is closed.
If, at the time of closure, funds remain in your BEPi Account, you will no longer have access to the account, but you may still request withdrawal of yourfunds by contacting Customer Support. You may do so for a period of six (6) years
from the date your BEPi Account is closed.
Remaining funds may be subject to additional checks. Following the closure or
deactivation of your BEPi Account,BEPi may be required to carry out additional checksbefore returning any remaining funds to you.
When you may not close your BEPi Accountor delete your profile.
You must not attempt to close your BEPi Account or delete your profile to avoid an investigation by BEPi or any law enforcement or regulatory authority, or while you have pendingtransactions, disputes, or claims. If you attempt to do so, BEPi may hold your funds for a period reasonably necessary to protect its own interests or those of third parties.
BEPi may prevent your account from being closedor your profilefrom being deleted if your BEPi Account has a negative balance or is subject to a hold, restriction, limitation, or reserve.
Your responsibilities after account closure.You remain responsible for all obligations
related to your BEPi Accountand your use of BEPi Services even after your account is closed or you stop using the Services.
For example, if your BEPi Accounthas a negative balance, you remain liablefor repayment after closure.
BEPi may terminate this Agreement by providing you with two (2) months’ prior notice, where required by applicable law, and may close your BEPi Account or associated Services
accordingly.
Use of the App after termination.
Upon termination of this Agreement for any reason,all rights granted to you in connection with the BEPi App will immediately cease, and you must promptly delete or remove the App from your devices.
How much will you pay?Registering with BEPi and/or opening a BEPi Accountmay be subject to a fee. You may also be charged fees when using certain BEPi Services, includingsending or receivingmoney, converting currencies, obtaining a Card, or receiving payments.
Payment of fees.
You must pay all applicable fees charged by BEPi. We may refuseto process transactions or provide Services until the relevant fees have been received.
Our fees do not include any fees that may be charged separately by API Partners, your bank, the recipient’s bank, card networks, or other third parties.
10.3 Pricing information.Our fee structure is setout on the
Pricing page.
The fees published on the Pricing page apply when you use BEPi Services and form part of this Agreement. In certaincircumstances, including periodsof increased volatility or unpredictability in the foreign exchange markets,BEPi may applyvariable fees. Where applicable, such fees will be disclosed to you before you confirm a transaction. You should review and agree to the
applicable fees before using the Services.
BEPi may update its fees in accordance with the section titled“Our right to make changes”.
Deductions for amounts owed.You authorize BEPi to deduct applicable fees, Reversal amounts, or any other amounts you owe to us from your BEPi Account, including from any available balance in any currency.
If you do not have sufficient funds to cover these amounts, BEPi may refuse to process current or future transactions or provide Services,and may deduct amountsfrom funds receivedby BEPi in connection with future Services.
Taxes.
You are solely responsible for determining, reporting, and paying any taxes, duties, or charges that may arise from your use of BEPi Services to the relevant tax authorities.
CONVERTING CURRENCY Currency Conversion
BEPi Servicesinclude the ability to convert currencies, including:
- as part of a money transfer;
- within your BEPi Account, when you add funds in one currencyand later use thosefunds to send money to a third party, spend using a Card, or withdraw funds in a different currency;
- within your BEPi Account,when you hold funds in one currency and then convert them to another supported currency.
Exchange rate.
When this Agreement refersto an exchange rate, itmeans the exchangerate applicable at the relevant time for the relevant currency pair (for example, GBP to EUR or USD to AUD) offered by BEPi.
The exchange rate is typicallybased on a reference rate provided by third-party rate providers and is usually aligned with the mid-market exchange rate. BEPi maychange its reference rate provider from time to time without prior notice.
For certain currencies, BEPi may not use the mid-market exchange rate, including where applicable law requires the use of an alternative reference rate. In such cases,the exchange rate offered by BEPi will be disclosed to you when you initiate the currency conversion.
BEPi may not processa currency conversion order until the relevant funds and applicable fees have been received or are available.
You are responsible for ensuring that funds used for a currency conversion (whether via your BEPi Account, as part of a money transfer, or through anotherBEPi Service) are provided in a timely manner. BEPi is not responsible for delays caused by your bank or payment service
provider.
Refusing a currencyconversion order.
BEPi reserves the right to refuse a currency
conversion order where the conditions of this Agreement are not met. Reasons for refusal may
include, without limitation, incorrect recipient information, insufficient available funds,or where BEPi reasonably believes you have breached this Agreement, including attempting to use the
Services for unauthorized currency trading or other prohibited activities.
Where possible,BEPi will notify you of a refusalusing the contactdetails you have provided, explain the reason for refusal, and indicate how any errors may be corrected. We may not provide such notification where doing so would be unlawful.
Confirmation of currency conversion order.
Each currencyconversion order is assigned a unique transaction reference number, which will appear in your order confirmation and
transaction history. You should quotethis reference numberwhen contacting BEPi about a specific currency conversion.
YOUR BEPi ACCOUNT Information about your BEPi Account
About your BEPi Account
- Your BEPi Account allowsyour Business to hold, spend, send, and receive fundsand to convert currencies.
- Funds held in your BEPi Account do not expire and are issued in accordance with the Electronic Money Regulations 2011.
- Funds held in your BEPi Account do not earn interest or any otherreturn.
- You may hold funds in any currencies supported by BEPi from time to time.
- You may withdraw fundsfrom your BEPi Account at any time, subject to certain conditions. Please refer to the section titled withdrawing funds from your BEPi Account for further details.
- Funds held in your BEPi Account belongto your Business as the registered BEPi Account holder.
- You may not grant a charge, lien, or other form of security over your BEPi Account.
- BEPi may apply limits to your BEPi Account based on your Business type, country of incorporation or operation, verification status, or other legal or regulatory considerations. You may contact Customer Support for further information regarding such limits.
- BEPi may, at its sole discretion, reject a transaction request or refund a payment or other transaction for any reason, including where the value ofyour BEPi Accountcould exceed limits permitted under applicable laws, regulations, or internal risk thresholds.
BEPi is not a bank,and your BEPi Accountis not a bank account.Funds held with BEPi are not protected by any depositprotection scheme, including the Financial Services Compensation Scheme (FSCS).
BEPi safeguards customer funds in accordance with applicable law. Any interest or other returns generated on safeguarding accounts belong to BEPi.
Account Details. Where BEPi provides you with account details (“Account Details”), these details are provided solely to enable third partiesto send funds to a bank accountheld by BEPi or its partners, so that BEPi can credit your BEPi Account.
Account Details are not bankaccount details for a bank account held by you.
How we protect your money. As BEPi is not a bank, we protect your funds through safeguarding, in accordance with the Payment Services Regulations 2017.
Your funds are held in segregated safeguarding accounts with authorized safeguarding banks. BEPi may change its safeguarding institutions from time to time without prior notice.
Adding money to your BEPi Account.
To add funds, you must log in to your BEPi Account and followthe instructions provided. You may be offeredone or more available funding methods (“Pay-in Methods”), such as bank transfer, authorized debit from a third-party account, or debit or credit card. Any Pay-in Method used must be in the name of your Business.
Funding via Direct Debit. If you choose to fund a money transfer or add funds to your BEPi Accountusing Direct Debit(including BACS), you must provide accuratebank account details and confirm that you are authorized to initiate the transaction.
- By requesting a Direct Debit transaction, you authorize BEPi to initiateelectronic debits and credits, including applicable fees. This authorization remains in effect while you are a BEPi customer, unless cancelled in accordance with this Agreement.
- If a Direct Debit resultsin a Reversal, BEPi may attempt to collect the payment again.
Pay-in Methods.Available Pay-in Methodsdepend on factorssuch as your location and verification status. Availability is shown when you attempt to add funds. BEPi does not
guarantee the availability of any specificPay-in Method and may modifyor discontinue methods at any time without notice.
Adding money by debit or credit card. Where available, you may add funds using a debit or credit card by providing validcard details. You confirm that you are authorized to use the card and initiate the transaction.
Any fees associated with card funding are payableby you.
Chargebacks. If a Pay-in Method is subject to chargebacks, you agree to initiate a chargeback only where:
- BEPi has breached this Agreement; or
- The transaction was unauthorized.
If BEPi must investigate a chargeback caused by or related to you, we may charge an administrative fee of up to GBP 30, deductthis from your BEPi Account,restrict access to Services, or close your BEPi Account in serious cases.
Restrictions on addingmoney. Only the Pay-in Methodsshown to you are accepted. Cash, cheques, or similar methods are not supported.
Legal,regulatory, or security limits may apply to fundingamounts or currencies, and you will be notified of any limits at the time of funding.
Receiving money. Where available, BEPi may allow you to receive funds from third parties or provide AccountDetails for this purpose. TheseAccount Details enableBEPi to credit your BEPi Account and do not represent a bank account held by you.
Verification of AccountDetails. BEPi may conduct additional verification checkswhen issuing Account Detailsand may updatesuch details from time to time.You are responsible for notifying third parties of any changes. BEPi is not responsible for issues arising from outdated Account Details.
Request Money feature. You may use the Request Money feature to request payments from third partiesvia available methods.Where open bankingis used, pre-filled payment details may be shown to the payer. BEPi is not responsible for changes made by third parties to such details.
Incoming funds.Funds received are converted into electronic money and reflectedin your transaction history. You must regularly review incoming transactions and notify BEPi of any discrepancies.
When we credit your BEPi Account. BEPi is not responsible for funds until they are received.When adding funds,BEPi is the recipient of those funds,and responsibility for delivery rests with the sending bank or payment provider.
BEPi will credit your BEPi Account once funds are received. For certain Pay-in Methods, funds may be credited before receipt, subject to Reversal. If a credited amount is not received by BEPi, it will be deducted from your BEPi Account and may result in a negative balance.
Withdrawing fundsfrom your BEPi AccountYou may request to withdraw all or part of the available balance in your BEPi Account. BEPi may charge a fee for each withdrawal request. The applicable fee will be disclosed to you when you submit the request and is also described on the Pricing page.
Pay-out Methods availableto you. You may be offered one or more withdrawal methods (
“Pay-out Methods”). The availability of Pay-out Methods depends on factors such as your location and verification status.
BEPi does not guarantee the availability of any particular Pay-out Method and may changeor discontinue any Pay-out Method at any time without prior notice.
Providing correct information. When submitting a withdrawal request, you must ensure that all information you provide is complete and accurate. BEPi is not responsible for funds sent to an incorrect recipient as a result of inaccurate or incomplete information provided by you.
Incorrect recipient information. If you provideincorrect recipient details,BEPi may, at its discretion, attempt to assistyou in recovering the funds. However, we cannot guarantee the success of such efforts, as they dependon the policies and procedures of third-party banks and institutions.
BEPi may not be able to verifywhether the recipient’s name matches the account number
provided. If incorrect account details are supplied, funds may be sent to the wrongaccount.
Withdrawal limits. Your BEPi Accountis subject to withdrawal limits.If a withdrawal request exceeds the applicable limit, BEPi may decline the request or require additional documentation or verification before processing the withdrawal.
Delays in withdrawal. BEPi may delay a withdrawal where reasonably necessary, including to confirm authorisation, complete verification or compliance checks, or where previous paymentsto your BEPi Account have been reversed (for example, due to a chargeback or Reversal).
BEPi is not responsible for delays where it has acted reasonably.
Finality. Withdrawals, currency conversions, Card transactions, and other transactions processed by BEPi are final and irrevocable once requested, unless otherwise stated in this Agreement or required by applicable law.
Reversals and ChargebacksFunds added to or received into your BEPi Account may be subject to Reversal or chargeback.Amounts added to your BEPi Accountor received to funda money transfermay be Reversed or charged back,meaning such funds may not be creditedto your BEPi Account or applied to your transfer. A Reversal or chargeback may occur where funds are reversed by BEPi, the sender, or the relevant payment service provider.
When a Reversal or chargeback may occur. You may be liable for aReversal or chargeback, including where BEPi reasonably believes that:
- BEPi or any thirdparty credited your BEPi Accountin error;
- the funds received were unauthorized, fraudulent, or obtained through deception;
- the funds were received in connection with activities that may breach applicable law, this Agreement, the Acceptable Use Policy, or any other agreement between you and BEPi;
- the funds are reversed by the senderor a payment service providerfor any reason;or
- any other error occurred resulting in your BEPi Account beingcredited when you were not the lawful recipient or were not legally entitled to retain the funds.
If any funds are reversed by the sender or a payment service provider, you agree that BEPi may refund,deduct, or reversethe relevant amount,together with any applicable fees, from your BEPiAccount in the original transaction currency where possible. If there are insufficient funds in the relevant currency, BEPi may, at its discretion, perform a currency conversion to complete the refund or reversal using the exchange rate applicable at the time.
If a Reversal or chargeback results in a negative balance on your BEPi Account, you are immediately liable to BEPi for thatnegative balance and any resultinglosses incurred by BEPi.
Chargeback fees. Wherea payment funded by a debit or credit card is credited to your BEPi Accountand a chargeback is initiated by you or a third party with the card issuer, BEPi may charge a fee in accordance with the Pricing Page for handling the chargeback process. BEPi may deduct the chargeback amount and any applicable fees from your BEPi Account, including from any available balances.
Maintaining your BEPi AccountTransaction history. All transactions relatingto your BEPi Account - including your
current balance, funds added, received, sent, and/or withdrawn, as well as applicable fees and exchange rates - are recorded and displayed in the transaction history and statement section of your BEPi Account.
Statements. You have the right to request a physical accountstatement showing your BEPi Account activity by contacting Customer Support.
You may view your BEPi Account statements by logging into your BEPi Account. Certain
viewing settings may allow you to hide specific transactions (for example, to analyse spending by recipient). If you use such features, you will need toadjust your preferences to return to the default view showing all transactions.
Review your BEPi Accountregularly. You must regularly and carefully reviewyour BEPi Account and notify Customer Support immediately if you do not recognise a transaction or
believe a transaction has been executed incorrectly.
You must informus of any unauthorised or incorrectly executedtransaction as soon as possible and no later than
thirteen (13) months from the transaction date, starting from when you
become aware of the issue.
Multi-currency risks. You acknowledge and accept all risks associated with holding funds in multiple currencies, including the risk of exchange rate fluctuations over time.
Auto conversion.For certain currencies, BEPi may allow you to set one or more automatic currency conversion orders that execute when a specified exchange rate becomes available
(“auto conversion orders”). Limits may apply to the number and value of auto conversion orders you can create. BEPi does not guarantee that an auto conversion order will be executed in all
circumstances.
Not a currency tradingplatform. BEPi is not a currencytrading or investment platform. You agree not to use your BEPi Account or BEPi Services for speculative purposes, including attempting to profit from currency conversion, foreign exchange trading, arbitrage, options, or other activities primarily intended to generate gains from exchange rate movements.
Prohibited trading behaviour. You must not use BEPi Services, includingauto conversion orders or money transfers, for speculative or abusive purposes, such as creating multiple
conversion ordersor transfers withoutan intention to complete them.
If BEPi determines that you are using the Services in this manner,we may, at our sole discretion, limit or cancel auto conversion orders,restrict conversion or transfer amounts,suspend access to features, reverse or cancel transactions, recover gains, or suspend or close your BEPi Account.
Negative balances.You agree to maintain a zero or positive balancein your BEPi Account at all times.
If your BEPi Account has a negativebalance for any reason (including chargebacks, Reversals, fee deductions, errors, or other actions), the negative amount represents a debt owed by you to BEPi and must be repaid immediately, without notice.
BEPi may take reasonable steps to recover any negative balance, including sending reminders, using debt collection services,or taking legal action. You may be chargedfor any costs incurred by BEPi in connection with recovery efforts.
Using or spending funds in your BEPi Accountvia Direct DebitsDirect Debit.You may set up a Direct Debit to allow a third party (the payee) to collect funds from your BEPi Account. This arrangement is an agreement betweenyou and the third party and may apply on a recurring or ad-hoc basis.
Examples include, withoutlimitation, billing agreements, subscriptions, recurring payments, reference transactions, preauthorized transfers, or preapproved payments.
Direct Debitrefunds. Direct Debitsmust be cancelled at least one (1) BusinessDay
before the scheduled collection date; otherwise, the Direct Debit may still be processed.
Direct Debitsare collected based on the consent you previously provided. Third parties are generally required to notify you in advance of the amount to be collected.
If you believea Direct Debit has been taken from your BEPi Account in error,you may request a refund within eight (8) weeks
of the payment date. To request a refund, contact BEPi Customer Support. We will inform you of the outcome within ten (10) Business Days.
Once a DirectDebit is cancelledon your BEPi Account, all future automatic payments under that arrangement will stop.
Cancelling a Direct Debitdoes not removeany obligation you may have toa third partyfor goods or services already provided.
If you have given advance authorization to a third party or to BEPi allowing recurring Direct Debitsthat vary in amount, you are entitled to receive advance noticeof the amount and date of the payment, typically three (3) days
before it is taken.
Whereavailable, you may choose to receive such notice only when the amount falls outside an agreed range.
If a Direct Debitrequires a currencyconversion, BEPi will apply the exchange rate available at the time the transaction is processed.
Suspension or cancellation of Cards. BEPi may suspend or cancel your Card if your BEPi Account is closed or suspended, or if Card or account activity appears suspicious, fraudulent, criminal, or inconsistent with this Agreement.
Unusualtransaction patterns may result in temporary suspension to allow investigation.
Limitation of Card use. BEPi may limit Card usage, refuseto issue or replace a Card, or revoke Card privileges, except where prohibited by law.
You must not use, or allow others to use, an expired, suspended, cancelled, or otherwise invalid Card. BEPi is not liable for unavailability of funds due to Card restrictions.
Card replacement. If your Card needs replacement, follow the instructions in the BEPi App or Website or contact Customer Support. A replacement fee may apply.
Money Transfers Sending moneyInformation required to send money. To set up a moneytransfer using BEPi Services, you must provide certain information, including (without limitation):
- the full name of the recipient;
- the recipient’s bank account details(for example, sort code and account number for UK accounts, or an International Bank Account Number (IBAN) for non-UK accounts), or the recipient’s BEPi Account details where applicable;
- the amount and currency you wish to send.
You are responsible for ensuring that all recipientinformation provided is accurate and complete.
Authorisation of a Money Transfer. To carry out a money transfer, you must log in to your BEPi Account or profile using the required security credentials, passwords, and authentication
prompts. Your successful authentication and submission of a transferrequest will be treated as your consent for BEPi to execute the money transfer in accordance with your instructions.
Payment order limits. BEPi may apply limits to the amount you can send per money
transfer. Depending on the currency,destination, or paymentmethod, a money transfer may be processed by BEPi directly or through one of its regulated partners. Where applicable, such
transfers may also be subject to additional terms relating to the relevantpartner.
Paying for your moneytransfer.To pay for a money transfer, you must access your BEPi Account or profile via the BEPi Website, App, or an authorized API Partner and follow the instructions provided.
Payment methods.You may be offered one or more payment methodsto fund a money transfer, such as:
- funds held in your BEPi Account;
- a bank transfer;
- a debit or credit card.
Available paymentmethods depend on factors such asyour location and verification status.BEPi does not guarantee the availability of any specific payment method and may change or discontinue payment methods at any time without prior notice.
Payment instruments must be in your name. Any payment instrument used to fund a money transfer (including bank accounts, debitcards, or creditcards) must be in the name of your Business.
Paying with a debitor credit card. Wherepayment by debitor credit card is available, you must provide valid card details, including the card number and cardholder name.
By usinga card to fund a money transfer,you confirm that:
- the card detailsprovided are accurate;
- you are authorized to use the card and initiate the transaction;
- the card account is in good standingwith the issuing institution; and
- you have authorityto initiate the payment for the specifiedamount.
You authorize BEPi to initiate debits and credits via card payment networks, including for applicable fees, for as long as you are permitted to use BEPi Services, unless such authorization is cancelled in accordance with this Agreement.
Funding your money transfer. You must providesufficient cleared funds to BEPi after setting up a money transfer before it can be processed.
BEPi is not responsible for funds until they have been received. A money transfer will only be processed once BEPi holds or has received sufficient cleared funds in accordance with this Agreement.
If funds are sent to BEPi before a money transferorder is finalized:
- they may be credited to your BEPi Account; or
- if you do not hold a BEPi Account, BEPi may attemptto return the funds to you.
You are responsible for funding your money transfer in a timely manner. BEPi is not responsible for delays caused by your bank or a third-party payment service provider.
Processing your Money TransferWhen we will complete your Money Transfer. BEPi will process and complete your Money Transferonce we have received your funds. For certain paymentmethods, such as debit or credit cards, we may initiate the Money Transfer as soon as reasonably possible.
Guaranteed exchange rates. BEPi may offer you a guaranteed foreign exchange rate for a limited period. Where applicable, we will notify you of the guaranteed rate and the duration for which it applies (the
“Guaranteed Period”) when you create your Money Transfer.
Guaranteed Period conditions. Guaranteed Periods are subjectto the following conditions:
- The Guaranteed Period may be extended if your Money Transfer is createdduring a weekend or public holiday.
- BEPi must receive sufficient cleared funds from you within the Guaranteed Period to apply the guaranteed rate. You will be able to see when funds are received in your BEPi Account or profile. BEPi is not responsible for delays caused by third parties in sending funds to us.
- If funds are received after the Guaranteed Period, the guaranteed rate will no longer apply and your transfer will be processed using a non-guaranteed rate. In such cases, BEPi may apply the exchangerate available at the time funds are received or contact you toconfirm whether you wish to proceed at the new rate.
- If the applicable exchange rate changesby 5% or more during the Guaranteed Period,BEPi may, at its discretion, suspend the transfer for a reasonable period or cancel the transfer and refund the funds to you.
- For certaincurrencies, including where payments are funded in Japanese Yen (JPY), a guaranteed rate may only be offeredafter your address or other requireddetails have been verified.
- BEPi may amend the guaranteed rate conditions or suspend the guaranteed rate feature at any time.
Exchange rates. BEPi will confirm the applicable exchange rate for your Money Transfer:
- at the time you place your Money Transfer, if a guaranteed rate applies; or
- once your payment has been received, if the transferis processed usinga non-guaranteed rate.
Chargebacks on payment methods. If you use a paymentmethod that allowschargebacks (for example, a debit or credit card), you agree to exercise your chargeback rights only where:
- BEPi has breachedthis Agreement; or
- the payment was unauthorized, meaning you did not executeor approve it.
You agree not to initiate a chargeback for any other reason, includingdisputes with a recipient.
If BEPi is required to investigate or take action in connection with a chargeback caused by or related to you, we may recover our costs from you, deductsuch costs from your BEPi Account (where applicable), or restrict your access to the Services.
When we receive your request. If BEPi receives your Money Transfer request after 5:00 pm UK time
on a Business Day, or on a non-Business Day, the requestwill be deemed received on the next Business Day.
Transaction reference. Once your Money Transfer request has been received, BEPi will assigna unique transaction reference number, which will be available in your BEPi Accountor profile. You should quote this reference number when contacting us regarding the transfer.
Sending money usingan email address. If you send money to a recipient using an email address that is not registered with BEPi, the funds will not be credited until the recipient claims them by following the instructions sent by email.
Until the fundsare claimed and recipient checks are completed, the funds remainyours. BEPi will refund the funds if the recipient does not claim them or fails required checks within a reasonable period.
Delays in processing. BEPi may delay processing a Money Transfer where reasonably necessary,including to confirmauthorization, complete verification or due diligence checks, or where prior payments to your BEPi Account have been reversed (for example, due to a Chargeback or Reversal). BEPi is not responsible for delays where it has acted reasonably.
Estimated completion time. An estimated completion time for your Money Transferwill be provided to you when you set up the transfer.
Delivery to recipient. BEPi will use reasonable effortsto ensure that funds reach the
recipient’s bank or payment accountwithin the estimatedtimeframe provided.
BEPi does not control, and is not responsible for, the time taken by the recipient’s bank or
payment service providerto credit or make funds available.
Refusal of a Money Transfer. If BEPi is unable to complete your Money Transfer, we will notify you and, where possible, explain the reasonsfor refusal and how factualerrors may be corrected. We may not notify you where doing so would be unlawful.
Cancelling a Money Transfer. You may cancel a Money Transfer by following the instructions in the Help Centre
before your funds have been converted.
Once funds have been converted and the transfer initiated, cancellation is no longerpossible.
Scheduled Money Transfers. If you schedule a Money Transfer in advance, BEPi will notifyyou 24 hours before the scheduled execution, setting out applicable fees and the estimated exchange rate.
By scheduling a transfer, you agree that BEPi may execute it using the exchange rate available
on the scheduled date. If you have opted in to notifications, a receipt will be sent after successful execution.
Accuracy of information. You are responsible for ensuring that all information provided when setting up a Money Transfer is accurate and complete. A transferprocessed in accordance with the information you provided will be treated as correctly executed, even if the information was incorrect.
Incorrect information.If incorrect information is provided, BEPi may, but is not obliged to, assist in attempting to recover the funds. Recovery is not guaranteed and depends on third-
party banks or institutions.
BEPi may not be able to verifywhether recipient names and accountnumbers match. If incorrect details are provided, funds may be sent to the wrong account.
Finality. Once a Money Transfer has been executed,settlement and payout to the recipient are final and irrevocable, except whereotherwise required by applicable law or expressly stated in this Agreement.
INTELLECTUAL PROPERTY RIGHTSIntellectual PropertyRightsAll rights,title, and interestin and to any software (including, without limitation, the App, the Website, the API, developer tools, sample source code, and code libraries), data, materials, content, and documentation (whether printed or electronic, including specifications and
integration guides) developed, provided, or made available by BEPi or its affiliates to you - including the content of the Website - together with all related technology and any content created from or derived from the foregoing (the
“BEPi Materials
”), as well as the BEPi Services, are the exclusive property of BEPi and its licensors.
The BEPi Materials and Services are protected by intellectual propertylaws and international treaties. All rights not expressly granted are reserved.
How you may use BEPi Materials. You may use the BEPi Materials only to the extent expressly permitted under this Agreementor where you have receivedBEPi’s prior written consent.
Any use of the BEPi Materials or Services that is not expressly authorized by this Agreement or by BEPi in writing is strictly prohibited. Any license granted to you will automatically terminate if you breach this Agreement or any applicable service terms.
Restrictions on use of BEPi Materials. Unlessexpressly authorized in writing by BEPi, you must not, and must not attempt to, directly or indirectly:
- use any BEPi Materials for any unauthorized commercial purposeor otherwise infringe
BEPi’s intellectual propertyrights;
- transfer, sublicense, loan, sell, assign,lease, rent, distribute, or grant any rights in the Services or BEPi Materials to any third party;
- remove, obscure,or alter any copyright, trademark, or other proprietary notices displayed in or on the Services or BEPi Materials;
- modify, copy, tamper with, or createderivative works from any softwareor other materials included in the BEPi Materials; or
- reverse engineer, decompile, disassemble, or otherwise attemptto derive the sourcecode of any software forming part of the BEPi Materials or Services, except where such restriction is prohibited by applicable law.
BEPi Trademarks. The following is a non-exhaustive list of BEPi trademarks:
“BEPi”,“BEPi Card”, “BEPi Platform”, “BEPi Business”, “BEPi Payments”, “BEPi API”, and any other businessnames, service names, logos, trade dress, graphics, page headers,button icons, or scripts used by BEPi from time to time (the
“BEPi Trademarks
”).
These are registered or unregistered trademarks or trade dressof BEPi or its licensors in applicable jurisdictions.
You may not copy, imitate, modify,or use BEPi Trademarks withoutBEPi’s prior written consent.
Where BEPi provides HTML logos or similar assets, they may be used solely for thepurpose of directing traffic to BEPi Services and must not be altered, modified, or displayed in a way that implies endorsement, sponsorship, or affiliation beyond what is expressly permitted.
You must not use BEPi Trademarks in connection with non-BEPi productsor services, in a manner likely to cause confusion, or in any way that may harm or discredit BEPi.
All other trademarks, registered trademarks, product names, company names, or logos that appear in the BEPi Materials or Services and are not owned by BEPi are the property of their
respective owners.
Nothing in this Agreement grantsyou any rightto use such third-party trademarks without the consent of the relevant rights holder.
Third Party MaterialsCertain functionality of the BEPi Website, App, or API may include,display, or provide access to information, products, services, or other materials made available by third parties
(“Third Party Materials”), or may enablethe routing, transmission, or linking to such Third Party Materials.
BEPi does not control,endorse, or assume responsibility for anyThird Party Materials. This includes, without limitation, their accuracy, completeness, reliability, timeliness, quality,legality, usefulness, safety, or any related intellectual property rights.
Third Party Materialsmay be inaccurate, misleading, or deceptive. Nothingin this Agreement constitutes any representation or warranty by BEPi in relation to Third Party Materials.
BEPi has no obligation to monitor Third Party Materials and may block, restrict, or disable access to any Third Party Materials, in whole or in part,through the Website,App, or API at any time.
The availability of Third Party Materials does not imply BEPi’s endorsement of, affiliation with, or partnership with any third-party provider, nor does it create any legal relationship between you and such provider.
Your use of ThirdParty Materials is entirely at yourown risk and is subjectto any
additional terms, conditions, or policies imposedby the relevant third-party providers, including their terms of service and privacy policies.
OTHER LEGAL TERMS Our responsibility for loss or damageUnforeseeable loss or damage. BEPi is not responsible for any loss or damage that is not reasonably foreseeable. Loss or damage is considered foreseeable where it is obviousthat it will occur or where, at the time this Agreement was entered into, both you and BEPi knew it might occur, for example if it was discussed during your onboarding process.
Nothingin this Agreement excludes or limitsBEPi’s liability where doing so would be
unlawful. This includesliability for deathor personal injurycaused by BEPi’snegligence (or that of its employees, agents, or subcontractors), or for fraud or fraudulent misrepresentation.
Noliability for businesslosses. To the fullest extent permitted by law, where you use BEPi Services for business or commercial purposes, BEPi shallnot be liable for any lossof profit, loss of business, business interruption, loss of business opportunity, or similar indirect or
consequential losses.
Technological risks. BEPi is not liable for any loss or damagecaused by viruses,malware, cyber-attacks, system failures, or other technologically harmful material that may affect your
devices, software,data, or systemsin connection with your use of the Services.
Third-party websites. BEPi has no control over, and assumesno responsibility for, Third Party Materials or websites linkedto or from the BEPi Website, App, or API. BEPi is not liable for any loss or damage arising from your use of such third-party materials.
Liability for unauthorised payments. In the eventof an unauthorised payment, BEPi will, at your request, refund the unauthorised amount and any fees charged by BEPi, subject to
applicable law. We may requireevidence that the transaction was unauthorised.
This does not apply where BEPi reasonably believesthat:
- your BEPi Account or security credentials were lost, stolen,or misappropriated, and you failed to notify us promptly. In such cases, you may be liable for the first GBP 35 of unauthorised payments, unless the loss was caused by BEPi or its service providers, or the transaction occurred after you notified us;
- you acted fraudulently;
- you failedto notify BEPi promptly of security issues(such as loss of logincredentials), in which case you remain liable for losses incurred prior to notification;
- the unauthorised transaction resulted from your intentor gross negligence, including failure to comply with security obligations under this Agreement, in which case you are fully liable;or
- you fail to notify BEPi of the unauthorised or incorrectly executedtransaction within thirteen
(13) months
of the transaction date.
Monitoring your BEPi Account. You are responsible for regularly reviewing your BEPi Account activity and contacting CustomerSupport immediately if you noticeany unauthorised, suspicious, or incorrect transactions.
Noliability in certaincircumstances.You are solelyresponsible for losses arising from your fraud or gross negligence. BEPi is also not liable where:
- you do not have sufficient funds available to complete a transaction;
- a merchant refusesto accept your Card;
- an ATM lacks sufficient cash;
- a terminal or payment systemfails;
- access to your Card or Account is blocked for security reasons;
- your funds are subject to legal, regulatory, or administrative restrictions;
- the transaction is unauthorised withinthe meaning of this Agreement;
- circumstances beyondBEPi’s reasonable control (including natural disasters or system
outages) prevent completion of a transaction; or
- any other exclusionset out in this Agreement.
Events outside our control. BEPi and its affiliates are not liablefor delays or failures caused by events beyond their reasonable control.
Your liability for breaches. If BEPi sufferslosses, claims, costs, or expenses(including reasonable legal fees)arising from your breach of this Agreement, applicable law, or misuse of the Services by you or any Authorised User, you agree to indemnify and hold BEPi and its
affiliates harmless. This obligation survivestermination of this Agreement.
Ifyou owe us money. If you owe BEPi any amount, BEPi may immediately deduct it from your BEPi Account where available.
If insufficient funds are available, you agree to repay the outstanding amount immediately upon demand, together with any applicable fees or interest.
If repayment is not made, BEPi may recover the debt using future payments, debt collection agencies, or legal action in any jurisdiction where you reside or hold assets.BEPi may recover all reasonable costs incurred in enforcing this Agreement.
Release. If you have a dispute with another BEPi customer or a third party arising from use of the Services, you release BEPi from all related claimsand damages. You acknowledge that BEPi is not responsible for disputes between users or third parties.
You expressly waive any legal protections that would otherwiselimit this releaseto claims you are currently aware of.
Disclaimer of warranties. BEPi Services are provided
“as is”, “as available”, and “where available”, withoutwarranties of any kind, whetherexpress, implied, or statutory. To the fullest extent permitted by law, BEPi disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.
Availability of Services. BEPi aims to provide reliable access to its Services but does not guarantee uninterrupted availability. BEPi may suspend, modify,or discontinue Serviceswithout notice. BEPi is not liable for any unavailability of the Services.
Our right to make changesBEPi may amend this Agreement by providing you with at least two (2) months’ prior written notice. Such notice may be given by email or by displaying a notice in the BEPi App or on the BEPi Website.
If BEPi provides noticeof a change, you may terminate this Agreement immediately by closing your BEPi Account or profile and stopping your use of the Services during the notice period (see Closing your BEPi Account or stopping your use of BEPi Services).
If you do not notify us of termination during the notice period, you will be deemed to have accepted the proposedchanges, and they will apply to you from the effective date specified in the notice.
In certaincircumstances, BEPi may make changesto this Agreement with immediate effect. Сhanges that do not require two (2) months’ notice include changes that are:
- more favourable to you;
- required by applicable law or regulation;
- related to the introduction of a new serviceor additional functionality to an existing Service; or
- changes that do not reduce your rights or increase your obligations.
Such changes will take effect immediately if stated in the relevantnotice.
Changesto exchange rates may take effect immediately without prior notice,and you will not have the right to object to such changes.
ComplaintsIf you have any complaints regarding BEPi or the BEPi Services, you must submit your complaint by email to
complaints@bepi.uk in accordance with our Customer Complaint Procedure.
If you are a Corporate Opt-outCustomer, you will not be eligible to refer a complaint to the Financial Ombudsman Service.
General but important termsNothird-party rights. This Agreement is made betweenyou and BEPi only. Exceptwhere expressly stated otherwise in this Agreement (for example, in applicable app store terms), no
thirdparty has any right to enforce any of its terms.
Neither you nor BEPi is required to obtain the consent of any third party to terminate or amend this Agreement.
Assignment. You may not transfer, assign,mortgage, charge, subcontract, declare a trust over, or otherwise deal with any of your rights or obligations under this Agreement (including your BEPi Account) without BEPi’s prior written consent.
BEPi may transfer, assign,or novate this Agreement, including your BEPi Account, or any rights or obligations under it, at any time without your consent. This does not affect your right to close your BEPi Account in accordance with this Agreement.
Severability. Each provision of this Agreement operates independently. If any courtor competent authority determines that any provision is unlawful, invalid,or unenforceable, the remaining provisions shall remain in full force and effect.
Enforcement. If BEPi delays or refrains from enforcing any right or provision of this Agreement, this does not constitute a waiver of thatright or preventBEPi from enforcing it at a later time.
Entire Agreement.This Agreement constitutes the entire agreement betweenyou and BEPi in relation to its subject matter and supersedes all prior agreements, understandings, or arrangements between you and BEPi, whether written or oral.
Governing law and jurisdiction. This Agreement and any disputeor claim arisingout of or in connection with itor the BEPi Services shall be governed by and construed in accordance with English law.
The courts of
Englandand Wales shall have jurisdiction to settle any such disputeor claim, subject to applicable mandatory legal provisions.
